KONE Corporation has agreed to combine with TK Elevator (TKE) in a cash and share transaction implying a total enterprise value for TKE of EUR 29.4 billion, with the Advent and Cinven-led consortium receiving EUR 5 billion in cash and up to 270 million newly issued KONE class B shares valued at approximately EUR 15.2 billion. The combined group would generate approximately EUR 20.5 billion in annual sales across more than 100 countries, with approximately EUR 700 million in expected annual run-rate synergies, creating one of the world's largest elevator and escalator companies with KONE's existing CEO leading the combined entity.
QXO has agreed to acquire TopBuild Corp., the largest distributor and installer of insulation and related building products in North America, for approximately $17 billion in a mix of roughly 45% cash and 55% QXO stock, representing a 23% premium to TopBuild's closing price prior to announcement. The deal makes QXO the second largest publicly traded building products distributor in North America with more than $18 billion in combined revenue, and is expected to generate approximately $300 million in synergies by 2030.
ESCO Technologies has agreed to acquire Megger Group Limited, a global provider of testing and monitoring solutions for electric utilities and critical infrastructure, for total consideration of $2.35 billion — comprising $900 million in cash and approximately $1.4 billion in ESCO equity. The deal, representing approximately 14x projected 2026 EBITDA including synergies, adds Megger's roughly $590 million in expected 2026 revenue to ESCO's Utility Solutions Group and is expected to generate approximately $60 million in cost synergies within three years of closing.
QXO has completed its acquisition of Kodiak Building Partners from Court Square Capital Partners for approximately $2.25 billion, adding a U.S. distributor of lumber, trusses, windows and doors, and complementary exterior products that generated approximately $2.4 billion in 2025 revenues with strong concentrations in high-growth Sun Belt and Mountain state markets. The deal expands QXO's addressable market to more than $200 billion and is expected to be highly accretive to 2026 earnings, with integration synergies driven by cross-selling, scaled procurement, and AI-powered inventory management.
Stanley Black & Decker has completed the sale of its Consolidated Aerospace Manufacturing business to Howmet Aerospace for approximately $1.8 billion in cash, with net proceeds of roughly $1.57 billion expected to be used to reduce debt. The divestiture allows Stanley Black & Decker to sharpen its focus on core businesses while targeting a leverage ratio of approximately 2.5x net debt to adjusted EBITDA by year end, and gives Howmet an expanded precision fastener portfolio serving aerospace and defense customers.
Forge Nano, a U.S. advanced manufacturing company pioneering Atomic Layer Deposition nanocoating technology for AI-era semiconductor equipment and defense batteries, has agreed to go public through a merger with Archimedes Tech SPAC Partners II at a pre-money equity valuation of approximately $1.2 billion, with the transaction expected to provide up to $342 million in gross proceeds. Backed by strategic investors including GM Ventures, Hanwha Aerospace, Volkswagen, and a $100 million DOE grant, the combined company will use proceeds to scale domestic manufacturing of semiconductor tools and lithium-ion battery cells across a targeted $359 billion+ addressable market by 2034.
True Anomaly, a space superiority defense company developing autonomous spacecraft, advanced payloads, and space-based interceptors, has raised $650 million in a Series D round co-led by Eclipse and Riot Ventures, bringing its total capital raised to $1 billion since its 2022 founding. The funding will accelerate delivery of the company's expanding product portfolio — including its Jackal autonomous orbital vehicle and Mosaic mission autonomy platform — and support its role as a prime contractor on the U.S. Space Force's Space-Based Interceptor Program, with plans to conduct a dozen missions over the next 18 months.
Firmus, an Asia-based AI infrastructure company, is raising $505 million in a strategic equity investment led by Coatue with participation from NVIDIA, bringing its total equity raised over the past six months to $1.35 billion at a post-money valuation of $5.5 billion. The funding will accelerate the rollout of Firmus' AI Factory platform — built on NVIDIA's Vera Rubin DSX reference design — across the Asia-Pacific region, including its flagship Project Southgate national network of energy-efficient AI factories in Australia.
Ara Partners, a private equity and infrastructure firm focused on industrial decarbonization, has announced an investment of up to $500 million in Sedron Technologies to scale its Varcor waste upcycling technology across North America. Sedron's platform processes liquid waste streams — including municipal biosolids and dairy manure — into reusable water, organic fertilizer, and carbon-negative electricity using ten times less energy than conventional alternatives.
DeepWay, a Baidu and Lionbridge-incubated autonomous new energy heavy truck company, has raised over $310 million in a Pre-IPO financing round led by UAE-based Stone Venture with participation from Australian pension fund NGS Super, Xiamen Guosheng Fund, and existing investors including Temasek's ABC Impact — bringing together Middle Eastern, Australian, Singaporean, and Chinese capital in a rare global investor lineup. The proceeds will support autonomous driving R&D and global commercial expansion as the company prepares for a Hong Kong Stock Exchange listing, where it aims to become the first smart heavy truck stock, having submitted its prospectus in November 2025 just five years after its founding.
