Howard Hughes Holdings, through subsidiary Howard Hughes Insurance Holdings, closed its acquisition of Vantage Group Holdings, a specialty insurance and reinsurance company backed by Carlyle and Hellman & Friedman, for approximately $2.1 billion, financed through cash on hand and $1 billion of preferred stock issued to Pershing Square Holdings. The deal anchors Howard Hughes' transformation into a diversified holding company and closed on June 4, 2026, following regulatory approval.
Funds managed by Wafra Inc. agreed to acquire United Community Banks' equipment finance business, consisting of Navitas Credit Corp. and NLFC Reinsurance Corp., for $1.9 billion in cash, representing a 7% premium to the par value of Navitas' loan portfolio. The sale sharpens United's focus on its core Southeastern relationship banking franchise while enhancing liquidity and capital strength, and is expected to close in the third quarter of 2026.
OpenPayd, a global financial infrastructure platform for programmable money movement, entered a definitive business combination agreement with Titan Acquisition Corp. to become publicly listed on Nasdaq under ticker "OP," valuing the company at $1.145 billion on a pro-forma basis. The deal is expected to provide up to $276 million in gross proceeds to fund OpenPayd's expansion in fiat and stablecoin payment orchestration, and is expected to close in the fourth quarter of 2026, subject to Titan shareholder approval.
CRED, an Indian fintech platform spanning payments, lending, insurance, and wealth products, raised ₹8,550 crore (~$900 million) in a Series H round led by Meta, structured through primary and secondary share purchases at a post-money valuation of ~$4.5 billion. Meta joins as a minority investor without access to CRED customer data, and the round accompanies a leadership transition as founder Kunal Shah steps away from his CEO role to join Meta's global leadership team, with Miten Sampat taking over as interim CEO.
Drax agreed to acquire Bluefield Solar Income Fund, a renewable energy investment company operating wind farms, solar plants, and small-scale wind turbines, with shareholders receiving 92.574 pence per share in cash plus a 2.25 pence interim dividend. The deal expands Drax's UK renewables portfolio amid rising energy demand, and Drax intends to fund the cash consideration through £1.1 billion in bridge financing.
Deluxe agreed to acquire Celero Commerce, a Nashville-based integrated payment processing provider for small and mid-sized businesses, for approximately $625 million in an all-cash deal, creating one of the 10 largest non-bank merchant acquirers in the U.S. with combined 2025 transaction volume of roughly $70 billion. The deal accelerates Deluxe's shift toward Payments and Data revenue and is expected to close in the third quarter of 2026, subject to regulatory approvals.
Clip, a Mexico City-based fintech company, raised $500 million in a venture funding round from undisclosed investors, reaching a valuation of more than $2.5 billion. The capital will fund the rollout of Clip's new digital wallet, expansion of its cash deposit network across Mexico, and continued development of digital banking, payment, and credit services as the company moves beyond merchant payments into consumer banking.
Affiliates of Bayview Asset Management acquired a $340 million portfolio of fixed-rate installment powersports and outdoor power equipment loans from Octane Lending, marking Octane's sixth whole loan sale and first with Bayview. The transaction continues Octane's diversification of institutional capital partners, following $3.7 billion in consumer loans sold or committed through whole loan sales and forward-flow agreements since December 2023.
Airwallex, a global payments and financial platform, raised $320 million in a Series H round led by Addition, bringing its valuation to $11 billion, up from $8 billion in December 2025. The capital will fuel expansion into autonomous finance and agentic commerce, including two new product initiatives, T:0 and Airi, as Airwallex scales its AI-native financial infrastructure.
Mobilewalla, a data and vertical agentic AI company serving the telecom and fintech industries, entered a definitive business combination agreement with SPACSphere Acquisition Corp. to become publicly listed, valuing Mobilewalla at a $250 million pre-money valuation. The combined company is expected to receive approximately $172.5 million from SSAC's trust account at closing, with the deal expected to close in the second half of 2026 subject to stockholder approval.
