Nuveen, LLC agreed to acquire Schroders plc in a board-recommended cash deal valued at approximately £9.9 billion (£5.90 per share), creating a combined active asset management firm with nearly $2.5 trillion in AUM. The transaction, expected to close in Q4 2026, will position London as the Combined Group's non-US headquarters and is subject to Schroders shareholder approval and regulatory clearance.
Banco Santander agreed to acquire Webster Financial Corporation in a cash-and-stock transaction valued at approximately $12.3 billion, with Webster stockholders receiving $48.75 in cash and 2.0548 Santander ADSs per share — a 16% premium to Webster's 10-day VWAP. The deal, expected to close in the second half of 2026, will integrate Webster into Santander's U.S. operations, with Webster CEO John Ciulla leading the combined bank as CEO of Santander Bank NA.
AIG acquired a 35% equity stake in Convex Group for approximately $2.1 billion and a 9.9% stake in Onex Corporation for approximately $642 million, as part of a coordinated deal that values Convex at $7 billion and positions Onex as Convex's majority shareholder with a 63% interest. The transactions also include AIG committing $2 billion to Onex-managed private equity and credit strategies over three years, with the deals having closed in early 2026.
Radian Group completed its $1.7 billion primarily all-cash acquisition of Inigo Limited, a Lloyd's specialty insurer, marking Radian's transformation from a U.S. mortgage insurer into a global multi-line specialty insurer. The deal, valued at 1.5x Inigo's projected year-end 2025 tangible equity, is expected to double Radian's total annual revenue and deliver mid-teens EPS accretion in the first full year.
Deutsche Börse Group agreed to acquire General Atlantic's remaining 20% minority stake in ISS STOXX for €1.1 billion, priced at approximately 20x ISS STOXX's adjusted EBITDA, payable in two tranches in February and March 2026. The buyout gives Deutsche Börse full ownership of the data, analytics, and index provider and is expected to be low single-digit accretive to Cash EPS in the first full year.
TPG and Jackson Financial closed a long-term strategic investment management partnership under which TPG will manage a minimum of $12 billion in AUM for Jackson — targeting $20 billion — focused initially on Investment Grade Asset Based Finance and Direct Lending. As part of the deal, TPG made a $500 million minority equity investment in Jackson (~6.5% stake), and Jackson received approximately 2.3 million shares of TPG Class A common stock.
Vestwell raised $385 million in Series E funding led by Blue Owl Capital and Sixth Street Growth, with participation from Neuberger Berman, Morgan Stanley, Franklin Templeton, TIAA Ventures, HarbourVest, and others, doubling the company's valuation since its 2023 Series D and bringing total capital raised to $660 million. The financing will support Vestwell's expansion of its savings infrastructure platform, which currently serves more than 2 million active savers and administers over $50 billion in assets.
Advent International agreed to invest approximately $304 million (Rs27.5 billion) in Aditya Birla Housing Finance Limited, acquiring a 14.3% equity stake while parent company Aditya Birla Capital retains an 85.7% interest. PennyMac agreed to acquire the subservicing business of Cenlar Capital Corporation in an all-cash transaction for $172.5 million upfront plus up to $85 million in contingent consideration over three years, adding up to $740 billion in UPB and 2 million loans to bring PennyMac's total servicing portfolio to over $1 trillion. Yendo secured a $200 million funding commitment from i80 Group to fuel originations of its AI-enabled, asset-backed credit card products, following the company's earlier $50 million Series B.
